Terms of Service
These Terms of Service ("Terms") are an agreement between you and Maxint Inc. ("Maxint", "we", "us" or "our"). They govern your use of Maxint’s websites, apps, APIs and services, including the Maxint app, Maxint Work, Orca and Maxint Link (together, the "Service"), as described in section 1. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information. Please read section 13, which limits our liability, and section 15, which sets out how disputes are resolved.
1. Our services and Product Terms
Maxint offers several services, each of which is part of the Service under these Terms: the Maxint app (maxint.com, the web app at app.maxint.com and the Maxint apps); Maxint Work (work.maxint.com, in the cloud or self-hosted); Orca (orca.maxint.com); and Maxint Link. Some services have additional terms ("Product Terms"), listed on our legal page, that apply when you use that service. If Product Terms conflict with these Terms, the Product Terms control for that service.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract to create an account. If you use the Service on behalf of a business or other organization, you confirm that you have authority to bind it to these Terms, and "you" includes that organization.
You must give accurate information when you create an account and keep it up to date. You are responsible for activity under your account and for keeping your devices and passkeys secure. If you lose a device or suspect unauthorized access, revoke the affected passkey in your account security settings and tell us promptly at support@maxint.com.
3. Workspaces and the people you invite
You can invite others, such as a partner, family member, accountant or employee, to your personal or business workspace and decide what they can see and do. You are responsible for the access you grant and for the actions of the people you invite within your workspace, and for making sure you are allowed to share any information you give them access to. If you invite someone under 18, you are responsible for supervising their use.
4. Integrations and the Model Context Protocol
You can authorize other software, including AI tools using the Model Context Protocol (MCP), to access your workspace through OAuth or API tokens. You are responsible for granting, managing and revoking that access. Third-party software you authorize is not part of the Service, and we are not responsible for what it does with your data or for changes it makes to your workspace, including entries or transactions it creates.
5. Plans, subscriptions and payment
- Plans. Each service’s free and paid plans, their features and their limits are described on that service’s pricing page and in the app.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (weekly, monthly or yearly, as you choose) and you will be charged the then-current price, plus any applicable taxes, using your payment method, until you cancel.
- Cancellation. You can cancel at any time in the app’s billing settings or, if you subscribed through an app store, in that store’s subscription settings. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
- Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods. Purchases made through an app store are subject to that store’s refund policies.
- Price changes. We may change prices. We will tell you in advance of any increase to your subscription price, and the new price applies from your next billing period after the notice, unless you cancel before then.
- Payment processing. Payments are handled by our payment processors or by the app store you buy through. You authorize us and them to charge your payment method for your subscription and any purchases you make.
6. Your data
You own the data you put into the Service or connect to it ("Your Data"). You grant Maxint a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Your Data only as needed to provide, secure and support the Service for you, as described in our Privacy Policy, and to create aggregated or de-identified information that does not identify you. We do not use Your Data to train public AI models.
You are responsible for Your Data and for having the rights needed to provide it, including information about other people, such as your customers, vendors and employees. You can export Your Data at any time while your account is active.
7. Acceptable use
You may use the Service only for lawful personal and business financial management. You agree not to:
- violate any law or regulation, including financial, tax, sanctions and anti-money-laundering laws;
- use the Service for fraud, money laundering, tax evasion, fraudulent invoicing or unauthorized transactions;
- access accounts, data or systems you are not authorized to access, or connect accounts that are not yours to connect;
- reverse engineer, decompile or attempt to discover the source code of the Service, except where the law permits this despite this restriction;
- probe, scan or test the security of the Service without our written permission, or interfere with or disrupt it;
- upload malicious code, or use bots, scrapers or other automated means to access the Service in ways that burden it, other than through APIs and integrations we provide;
- resell, sublicense or provide the Service to others as a service bureau, except as the Service allows, such as by inviting people to your workspace.
8. Our intellectual property and feedback
The Service, including its software, design, content and trademarks, belongs to Maxint and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
9. Apps from the Apple App Store and Google Play
If you download a Maxint app from an app store, these Terms are between you and Maxint, not the app store provider. Apple Inc., Google LLC and their subsidiaries are not responsible for the app or its content, have no obligation to provide maintenance or support, and are not responsible for any claims relating to the app, including product liability, legal or regulatory compliance, consumer protection or intellectual property claims. If the app fails to conform to an applicable warranty, you may notify the app store, which may refund the purchase price, if any; to the maximum extent permitted by law, the app store has no other warranty obligation. Your use of the app must also comply with the app store’s terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
10. Beta features and changes to the Service
We may offer features labeled beta, preview or similar. They are provided as they are, may change or be discontinued, and may be less reliable than other features. We continually improve the Service and may add, change or remove features. If we remove a significant feature of a paid plan, we will tell you in advance.
11. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use poses a security, legal or fraud risk, or if required by law. Where reasonable, we will give you notice and a chance to fix the problem first. If we terminate your account without cause, we will refund any prepaid fees for the unused part of your billing period. After termination, you may ask us to export Your Data for 30 days, after which we may delete it as described in our Privacy Policy. Sections 6 (second paragraph), 8 and 12 through 17, and any provisions of Product Terms that by their nature should survive, survive termination.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, that information from connected accounts or third parties will be accurate or current, or that outputs of the Service, including AI output, will be accurate or complete. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, Maxint and its affiliates, directors, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, savings, data or goodwill, business interruption, tax penalties or interest, or the cost of substitute services, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or US$100.
These limitations apply to all theories of liability, but do not limit liability for fraud, gross negligence, willful misconduct, or anything else that cannot be limited under applicable law.
14. Indemnity
If you use the Service for a business, you will defend and indemnify Maxint and its affiliates, directors, employees and agents against third-party claims, and related losses, damages and reasonable costs, arising from Your Data, your use of the Service in violation of these Terms or the law, or your dealings with your customers. Consumers have this obligation only to the extent required by applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@maxint.com or writing to the address in section 18, and we will do the same; if a dispute is not resolved within 60 days, either party may bring proceedings. Except for claims that qualify for small claims court, the state and federal courts located in San Francisco County, California have exclusive jurisdiction, and you and Maxint consent to their jurisdiction. If you are a consumer living outside the United States, you may also have the right to bring proceedings in the courts where you live, and nothing in these Terms affects mandatory consumer protections you have under the law of your country of residence.
16. Changes to these Terms
We may update these Terms. We will post the updated Terms on this page and change the effective date. For material changes, we will notify you by email or in the app at least 30 days before they take effect. If you continue to use the Service after changes take effect, you accept the updated Terms; if you do not agree, you may stop using the Service and close your account before then.
17. General
- Entire agreement. These Terms, together with the Product Terms for the services you use and any plan terms shown at purchase, are the entire agreement between you and Maxint about the Service and replace any earlier agreements on the subject.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part will be enforced to the maximum extent permitted.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, such as outages of third-party services, natural disasters, or acts of government.
- Export and sanctions. You may not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive US sanctions, or if you are on a US government restricted-party list.
- Notices. We may give you notices by email to the address on your account or in the app. You can give us notices at the address below.
